Private Membership Covenant
1. Parties & Purpose
This private Covenant (“Covenant”) is entered voluntarily between ROXURASS Private Membership Association
(“PMA”) and the applicant (“Member”), acting only in private capacity.
The purpose of this Covenant is to establish the private Member–Association relationship in honor and good faith,
outside public commerce, statutory jurisdiction, corporate personhood, or maritime presumptions.
2. Membership Terms
- Private Status. Membership is a private relationship with the PMA and is not open to the public.
- Acceptance. Membership becomes effective only upon PMA review and approval of the application.
- Non-Transfer. Membership, access, and resources may not be sold, transferred, or shared.
- Good Faith. Members act in private honor, good faith, and fair dealing with the PMA and fellow Members.
3. Member Conduct & Community Content
- Conduct. Members shall refrain from harmful, abusive, or reputation-damaging behavior within PMA spaces.
- Member Content. Any content shared within the PMA is offered in private capacity; the Member affirms they have the private right to share it.
- Community Guidance. Members honor private guidance provided by the Association from time to time.
4. Privacy & Confidentiality
Information shared within the PMA—whether personal, operational, or creative—is kept private unless:
- mutually agreed for sharing,
- independently obtained from a public source, or
- privately compelled to be disclosed, in which case the disclosing Party will provide prompt notice.
5. Services, Access & Changes
- Services. The PMA may provide private services such as reputation support, community access, content tools, or educational resources.
- Access. The PMA may adjust, restrict, or improve features to preserve quality, safety, or integrity of the private domain.
- Updates. The PMA may update private guidance; material updates will be communicated privately.
6. Member Support & Private Value
Members may provide private Support to the Association, valued in private units rather than public fiat currency.
These Support offerings are not fees, dues, wages, or commercial payments.
- Private Value. Support may occur through private barter, digital value, metals, or any mutually accepted form.
- Records. Internal PMA ledgers may record Support in internal private units.
- Non-Refundable. Support is generally non-refundable unless expressly agreed in private writing.
7. Intellectual Property & License
- PMA Materials. PMA marks, processes, and materials remain under PMA stewardship; no license is granted except by private notice.
- Member Content. Member retains ownership; if the PMA uses Member content in private activities, a limited non-exclusive license is granted.
- Takedown. Members may request removal of their private contributions; the PMA will confer in good faith.
8. Safety, Boundaries & Takedown
Either Party may refuse unsafe, demeaning, or harmful activities.
The PMA may decline or remove material that is unsafe, abusive, or reputation-damaging.
9. Hold-Harmless & Liability (Private Capacity)
- Private Hold-Harmless. Each Party holds the other harmless for losses arising from that Party’s breach or misrepresentation.
- Liability Cap. Liability is limited to a reasonable sum relating to recent private value exchanged, excluding willful misconduct.
- No Special Damages. Neither Party is liable for indirect or consequential losses beyond the cap.
10. Term & Completion of Membership
- Term. Membership begins upon PMA approval and continues in private honor.
- Completion. Either Party may bring membership to completion with private notice.
- Cause & Cure. On material breach, if not remedied within a reasonable period, membership may cease in honor.
- Survival. Confidentiality, content permissions, and hold-harmless understandings survive as needed.
11. Governing Principles & Dispute Resolution
- Private Covenant in Equity. This Covenant operates exclusively in equity and private capacity.
- Private Mediation. Any disputes will be resolved privately through PMA Council mediation.
12. Acknowledgment
The applicant acknowledges the opportunity to read this Covenant before submitting the PMA application and affirms private acceptance by checking the corresponding acknowledgment box.
