Private Model Release & Creative Services Agreement
1. Parties & Effective Date
This private Agreement (“Agreement”) is entered voluntarily between ROXURASS Private Membership Association (“PMA”)
and the undersigned applicant acting as a Model in private capacity.
The Agreement becomes effective upon the applicant’s private consent and PMA approval.
2. Scope of Creative Services
- Content. Creation of photos, videos, audio, and other media as mutually agreed in private capacity.
- Purpose. Promotion of the Model’s presence through PMA-coordinated campaigns and channels,
including subscription platforms (e.g., OnlyFans) and social media. - Delivery. Submission through PMA-designated private systems or mutually agreed channels.
- Coordination. Timing and creative details are privately coordinated between the Parties.
3. Deliverables & Acceptance
- Delivery Contents. Media files accompanied by any descriptions necessary for intended PMA use.
- Review. The PMA may review and request reasonable private-capacity corrections.
- Cure. The Model agrees to make reasonable adjustments in good faith.
4. Private Value & Support Exchange
Any value exchanged between the Parties is handled exclusively within the private domain and is not characterized
as wages, employment compensation, or commercial income.
- Private Consideration. Any Support or value exchanged is coordinated privately,
including digital value or mutually accepted equivalents. - Private Records. Transaction confirmations (such as blockchain records) may serve
as evidence of completed value exchange. - Valuation. Network timing, value conversion, or private equivalencies may be determined by private notice.
- Taxes. Each Party handles any personal filings (if any) in their own private capacity.
5. Rights, Releases & Creative License
- License to PMA.
The Model grants the PMA a private, perpetual, worldwide, non-exclusive, royalty-free license to:- use, reproduce, adapt, publish, distribute, and display delivered content,
- create derivative works,
- feature the content in PMA promotions, profiles, and campaigns.
- Sublicense.
The PMA may privately sublicense the content to PMA-engaged editors, designers, production assistants,
or distribution channels necessary for PMA campaigns. - Likeness.
The Model grants permission for the PMA to use their name, image, likeness, persona, and voice
in connection with content and related promotional material. - Ownership.
The Model retains ownership of their original content; no transfer of title occurs.
6. Declarations & Warranties
- The Model declares they are at least 18 and have private capacity to enter this Agreement.
- The Model declares they privately hold the rights to all delivered content and have obtained
necessary private permissions for third-party elements. - The Model affirms content is provided in good faith and does not knowingly infringe private rights.
7. Safety & Boundaries
Either Party may refuse any activity or creative request that feels unsafe, demeaning, or harmful.
The PMA may decline content that conflicts with PMA guidance or reputation.
8. Privacy & Confidentiality
Private information shared between the Parties is kept within the PMA unless:
- mutually agreed for disclosure,
- independently available from a public source, or
- privately compelled to be disclosed, in which case notice will be provided.
9. Editorial Control & Takedown
- Editorial Right.
The PMA may privately edit, crop, caption, adapt, or remove content for campaign purposes. - Takedown Requests.
Upon private written request, the Parties will confer in good faith.
The PMA may retain archival copies as necessary for internal records.
10. Independent Private Capacity
The Model acts solely in independent private capacity.
This Agreement does not create:
- employment,
- agency,
- partnership,
- public-law obligations,
- or commercial services arrangements.
11. Hold-Harmless & Liability
- Private Hold-Harmless.
Each Party holds the other harmless for losses arising from their own breach or misrepresentation. - Liability Cap.
Liability is limited to a reasonable sum relating to recent private value exchanged, excluding willful misconduct. - No Special Damages.
Neither Party is liable for indirect or consequential losses.
12. Term & Completion
- Completion by Notice.
Either Party may bring this Agreement to private completion with reasonable notice. - Cure Period.
If a material breach occurs, the non-breaching Party may give notice and complete the Agreement if not remedied. - Survival.
Confidentiality, licensing, and private-value confirmations survive completion as needed.
13. Governing Principles & Dispute Resolution
- Private Covenant in Equity.
This Agreement operates exclusively in equity and private capacity, not statute or commerce. - Private Mediation.
Any disputes will be resolved privately through the PMA Council.
14. Acknowledgment
The applicant acknowledges having the opportunity to read this Agreement,
and affirms private acceptance by checking the corresponding acknowledgment box on the PMA application form.
